Reinstall xp pro on my asus motherboard P4S333M, after reinstall all seems to be ok except the sound/audio. on device manager I get a yellow marking "!" and on properties it says CODE10 CANNOT...

Seems the problem in your Audio Driver. Here's some steps that you could try :
1. Microsoft recommends that when this happens, you click "Update Driver" to update the drivers for the device in Device Manager.
2. based on my research the audio card is C-Media 8738 (not 9738) download the latest driver from here : http://www.cmedia.com.tw/EN/DownloadCenter_Detail.aspx?pserno=0&dtype=ALL

good luck

Hi zlasav, there are a few things that must be checked before checking within the system. Please check your speakers by connecting them onto another system or notebook. (Make sure they function). If you are using windows XP any version, open control panel. Once opened than open the icon, "Sound and Audio Devices". The sound & audio properties window will open. Left click the "Audio tab". Under Default device: it should show something like "AC'97". Than left click the "Voice tab". Under default device: it should show the same, AC'97. If nothing is listed than there is either a problem with your sound device driver or the AC97 may not be enabled in your bios. To check the settings in your bios. Shut down the system. Then power up the system & press the F2 key every two seconds until the bios main menu opens. Please see page 50 in your manual. Turn to page 63 & 64 make sure your, Audio device is set to [Enabled].
Open control panel & open the System icon. System properties window will open. Click once on the hardware tab, than click on the device manager button. Device Manager window will open. Scroll down to, "Sound, video and game controller". Click the "+" sign to the left of Sound, video and game controller. (If it is not all ready opened). There may be a yellow explanation point shown there. If there is, you will need to reinstall the sound driver software. Do not use the Shuttle CD to install the audio software. Left click on this link which will open Shuttle's web site to the driver download site for your MV43N motherboard. http://eu.shuttle.com/archive/en/mv43n_faq.htm#download
Now create a folder on your desktop & name it AC97. Download the driver file named, (Audio Driver for MV43N (2155kB) & save it into the AC97 folder you created. The driver will be compressed & will need to be uncompressed into the AC97 folder. The compression software used by Shuttle is called Winzip. You can download Winzip for free at this site: http://www.download.com/WinZip/3000-2250_4-10003164.html Once Winzip is downloaded, install the program. Than uncompress the file, (Audio Driver for MV43N (2155kB), keeping it in the AC97 folder. Once that is completed it is time to reinstall the audio software from within windows device manager.
Instruction: How to install driver software from within device manager. Use the instructions above to open up device manager again.
Right click once on the yellow ! point & left click once on update driver. Windows hardware wizard will open. Click No, not at this time. Than click the next button. Another window will open. Left click once in the circle next to, Install from a list or specific location (Advanced). Than click the next button. Again, another window will open. We want to remove the green check mark next to, Search removable media (floppy, CD-ROM...). Click the green check mark once & it will go away.
Click the browse button, click the + sign next to my computer. Find you’re desktop folder AC97 & open it. Left click once on the folder named, Audio so it is high-lighted. Than click OK.
Windows will find the correct driver software & install it automatically. Once completed. Close all opened windows & restart you’re system. Test your audio. If you intend to use a mic, you will need to set this up through the Sounds audio devices within the control panel. If this does not fix your sound issue, than the onboard sound chip is defective. The only other option is to buy & add a PCI sound card in to an opened PCI slot on your motherboard.
If you have any questions or trouble just post it here.

Good luck zlasav!
Please take your time.
Mike
