Factory alarm is Passive. Passive Anti-Theft System. It is a transponder chip in the key and a transceiver ring around the lock cylinder. If the alarm starts go off when set and not unlocked with remote or key, inserting the programmed key into the ignition and starting will disarm the system, shut off the horn and flashing lights and allow the vehicle to start.

Is this a factory alarm, or after market? If its a factory alarm you can disarm the sytem using the key, insert into the door and turn the key so the door unlocks, this will disable the alarm.
If it's an aftermarket installed by a stereo shop, there should be a valet switch under the dash or somewhere, put the key in the ignition, turn forward and flip the dip switch in the other direction. If not, then you will need to go under the dash, find the alarm box and pull the plug out.

not realy any proper way of disabling a fatory alarm
just get it fixed have you tested the battery in the kye fob? and it could also be the kye its self,, it has a small chip in it to turn off the alarm when you push it in the lock, that could be at fult as well try another kye the car should never ever start when in gear for what ever reson if its an auto box????

If you are talking about the PATS system, no way to do it. There is no factory alarm from Ford, if it is a Ford OEM system, it was added at the dealer. The 97 & 98 has a factory alarm system, but this was deleted after the introduction of PATS in 1999.
